1. About these terms

These Terms & Conditions form a binding agreement between you and Zylo ("Zylo", "we", "us"). By creating an account or using the Zylo service ("Service"), you agree to these terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

Zylo provides accounting, invoicing, quoting, expenses, payroll and related tools for small businesses. We may add, change or remove features from time to time.

3. Your account

You must provide accurate information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly if you suspect unauthorised access.

4. Acceptable use

You must not misuse the Service. In particular you must not:

  • use the Service for unlawful, fraudulent, deceptive or harmful activity, or to send spam;
  • infringe the intellectual property or privacy rights of others;
  • upload malware, attempt to probe, scan or test the vulnerability of the Service, or interfere with its security or integrity;
  • scrape, mass-download, reverse engineer, decompile or attempt to extract source code from the Service, except as permitted by law;
  • resell, sublicense or redistribute the Service, or use it to build a competing product;
  • circumvent technical limits, usage caps or access controls.

5. Intellectual property

Zylo and its licensors retain all right, title and interest in the Service, including all software, documentation, designs and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these terms and your selected plan. You retain ownership of the data and content you upload, and grant us a limited licence to host and process it solely to provide the Service.

6. Service availability

We work to keep the Service available and reliable but do not guarantee that it will be uninterrupted, error-free or secure against every threat. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

7. Payment, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, cancellations and refunds are governed by the Paddle Buyer Terms. See our Refund Policy for the refund window and how to request a refund.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the billing area in your account.

8. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay amounts owed, create a security or fraud risk, or repeatedly or seriously violate our policies. Where reasonable we will give you notice and an opportunity to cure. On termination your right to use the Service ends. We will provide a reasonable window for you to export your data before deletion, except where law requires immediate deletion.

9. Liability

To the fullest extent permitted by law, our aggregate liability arising from or relating to the Service is capped at the fees you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, revenue, data or goodwill. Nothing in these terms limits liability that cannot be limited by law (such as for fraud, death or personal injury caused by negligence).

10. Indemnity

You will indemnify Zylo against claims, losses and reasonable costs arising from your content, your unlawful use of the Service or your breach of these terms.

11. Changes

We may update these terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These terms are governed by the laws of the jurisdiction in which Zylo is established, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.
